1. Entrepreneurs Project- General
    1.1
    The entrepreneurs' project is intended to help out starting entrepreneurs by awarding them a loan from the foundation, without interest, as detailed in clause 2.1.

    1.2
    Any entrepreneur, who meets the participation requirements as detailed in clause 4.1, is entitled to submit candidacy for the project.

    1.3
    The foundation is entitled to choose one entrepreneur each month out of those who submitted requests. When the "entrepreneur of the month" is chosen, that candidate will sign an agreement, as detailed in clauses 2.3 and 6.1
    Part of the agreement with the foundation is that the chosen entrepreneur will establish a company whose entire operation would be dedicated towards the activity for which the loan is received. This company will issue shares to the foundation.

    1.4
    The entrepreneur must repay the loan as detailed in the above agreement.

    1.5
    The foundation intends to use the entrepreneur's repayment in order to fund new entrepreneurs.
  2. Definitions
    These terms and conditions will use the following phrases as defined below:
    2.1
    "The foundation": The Dan David Foundation and/or The Dan David Israel Foundation- A Public Benefit Company.

    2.2
    "The entrepreneurs' project" ו/או "The project": A project that awards, among other things, a loan to an entrepreneur from the foundation, within the guidelines of the agreement detailed in these terms and regulations.

    2.3
    "The agreement": The agreement between the foundation and the entrepreneur, as detailed in clause 6.1.
  3. The Time Period of the Entrepreneurs' Project
    3.1
    The project will begin on October 30, 2007.

    3.2
    The foundation maintains the right, according to its sole judgment, to set a starting date, to discontinue, or to lengthen the time period of the entire project or any stage of it, at any time, for any reason.

    3.3
    For the avoidance of doubt, in any incident of time changes, the entrepreneur, including the chosen entrepreneur, will not have any demands, claims, or objections towards the foundation and/or the entrepreneurs' project, including costs and/or expenses and/or damage caused to the entrepreneur while submitting his/her candidacy for the project.
  4. Conditions of Participation in the Entrepreneurs' Project
    4.1
    In order to participate in the project, the entrepreneur must comply with the following conditions:

    4.1.1
    The entrepreneur is an Israeli adult citizen and resident, that does not have any criminal background or involved in criminal activity.

    4.1.2
    The entrepreneur was never involved in a situation such as bankruptcy declaration, was not appointed as a receiver and/or a receiver for a corporation in which he/she has direct/indirect business interest.

    4.1.3
    The entrepreneur will present to the foundation in his/her application forms his planned entrepreneurship, for which the foundation's loan will be solely intended for.

    4.1.4
    The entrepreneur pledges that the entrepreneurship possesses a great success chance, and will survive, at least partially, in the State of Israel.

    4.1.5
    The entrepreneur pledges that all licenses, permits, and confirmations in the planned entrepreneurship are legal, and that all forthcoming licenses, permits, and confirmations are legal as well.

    4.1.6
    The entrepreneur ensures that there no illegal activity in the planned entrepreneurship or any violation of third parties' rights.

    4.1.7
    The entrepreneur pledges to abide by all clauses of these terms and conditions.

    4.1.8
    The entrepreneur pledges that if chosen by the foundation, he/she will abide by all the terms in the agreement, including among others establishing the company, and issuing shares in the company for the foundation.

    4.2
    The submission request by the entrepreneur to the project acts as a declaration and commitment that the entrepreneur read all the instructions in these terms and conditions, and agreed to them.

    4.3
    For the avoidance of doubt, if the foundation does not select the entrepreneur for any reason, the entrepreneur will not have any demands, claims, or objections towards the foundation and/or the entrepreneurs' project, including costs and/or expenses and/or damage caused to the entrepreneur while submitting his/her candidacy for the project.

    4.4
    The entrepreneur may present one entrepreneurship proposal only, once a month.

    4.5
    An entrepreneur whose proposal was not selected for a certain month, may not resubmit the same proposal without permission from the foundation.
  5. The Foundation's Selection of the Entrepreneur
    5.1
    During the time period of the project, the foundation is allowed, but not required, to select an entrepreneur of the month, out of all the entrepreneur proposals submitted during that same month.

    For the avoidance of doubt, it must be clarified that the foundation is not obligated to select an entrepreneur, and can abstain from choosing any entrepreneur for the duration of the project.

    5.2
    The selection of the entrepreneur will be carried out solely by the foundation, without any required explanation, and the entrepreneur will not have any right to appeal the decision of the foundation.

    5.3
    The foundation is not obligated to select an entrepreneur under any contract or tender laws, and is permitted by its own sole judgment and without any explanation to reject an entrepreneur from participating in the project.

    5.4
    The foundation is not responsible for any errors and/or faults, on the basis of an entrepreneur denied participation in the project, and/or not being selected "entrepreneur of the month".
  6. Main Points of the Agreement
    6.1
    After the foundation chooses the "entrepreneur of the month," the entrepreneur will sign an agreement with the foundation, whose main points are listed in clause 6 of these terms and conditions.

    The total sum of the loan awarded to the entrepreneur will reach up to $100,000 (one hundred thousand U.S. dollars), in New Israeli Shekels, according to the most recent dollar rate published by the Bank of Israel. The amount of the loan will be determined by the foundation, by its own sole judgment, and without any required explanation, and the entrepreneur will not have any right to appeal the decision of the foundation (hereinafter, "the loan").

    6.2
    The loan will not carry interest. The loan will be linked to the changing consumer rate, as issued by the Central Bureau of Statistics.

    6.3
    The entire amount of the loan will be repaid to the foundation, in continuous and equal monthly payments, at the end of two and a half years after the issue of the loan.

    The first repayment of the loan, read 1/18 of the loan, will be paid 12 months following the issue of the loan.

    6.4
    The entrepreneurship will issue shares for the foundation, in exchange for the payment of their quoted value, so that they will constitute 25% of the allocated shares of the company.

    6.5
    To clarify, the foundation is permitted, at any given time, to delay or cancel communication with the entrepreneur, if the entrepreneur did not uphold all the project requirements and/or submitted personal information that is not correct, complete, legal, recent and/or any reason according to the law to suspend or delay the communication, as detailed in the agreement.

    In the event of a situation described above, the entrepreneur is required to compensate the foundation and/or any third party for any damage/loss done, including attorney and other legal service fees, immediately upon initial demand.
  7. Selection of the "Entrepreneur of the Year"
    7.1
    The foundation is entitled, but not required, during the entrepreneur project, to select one entrepreneur out of the 12 chosen during the year, to be named "entrepreneur of the year."

    To clarify, the foundation is not obliged to select "entrepreneur of the year."

    7.2
    The foundation is not obliged to select "entrepreneur of the year" by any contract or tender laws.

    7.3
    One of the considerations the foundation will take into account when choosing the "entrepreneur of the year" is the entrepreneur's actions on TheMarker Caf? website, including working with the site's users.

    The selection of the entrepreneur will be carried out solely by the foundation, without any required explanation, and the entrepreneur will not have any right to appeal the decision of the foundation.

    7.4
    The entrepreneur selected as "entrepreneur of the month" will be awarded an additional loan from the foundation, upon his signing on the new loan, and whose conditions will be determined by the foundation.

    The total sum of the additional loan may reach up to $120,000 (one hundred twenty thousand U.S. dollars) in New Israeli Shekels.

    The amount of the loan will be determined solely by the foundation, without any required explanation, and the entrepreneur will not have any right to appeal the decision of the foundation.
  8. Actions to Promote the Project
    8.1
    For the sake of promoting the entrepreneur's project for the foundation, which made it a goal to encourage entrepreneurship in Israel, the foundation and/or Businessnet Online Information Ltd, which operates among others the Ha'aretz websites and TheMarker websites (hereinafter, "TheMarker"). TheMarker is permitted, according to its own judgment, to advertise and/or market the entrepreneurs' project and/or any material submitted by the entrepreneur, including identifying information and the entrepreneur's name, by media contracts with a third party with or without compensation, and in other ways, in any media device, without any limit on time, method, way, place, or media, and without any previous conditions (hereinafter, "promoting activities").

    8.2
    The entrepreneur is not eligible for any compensation, in money and/or in equal value, for promotion advertisements by the foundation and/or the foundation and/or third parties. The entrepreneur yields all claims in relation to the promotion activities, including the breach of any rights during the promotion.

    8.3
    The entrepreneur agrees to be interviewed, photographed, and participate, without compensation, in advertisements about the entrepreneurs' project, by the foundation and/or TheMarker, including articles, short films, interactive discussions on Internet forums, etc.

    8.4
    The entrepreneur agrees to receive advertising material from the foundation and/or TheMarker and/or third parties, as part of his/her participation in the project.

    8.5
    In any case of contradiction or difference between the terms and conditions and any other advertisement, of any kind, the terms and conditions will overcome and rule.
